Public Offer Agreement

Version 1.0 · in force from 2026-08-15 · published at https://voltariano.com/en/offer

This is a standing offer to supply software development services on the terms below. It becomes a binding contract when you accept it (clause 2). Quote its version and date on any payment or purchase order so both sides know which wording applies.

1. Parties

Supplier Voltariano — an independent contractor, working remotely.
Registered legal name and registration details are stated on every invoice and provided on request.
Contactvoltarianotechno@gmail.com
CustomerThe person or organisation that accepts this offer.

2. How the contract is formed

A contract on these terms comes into existence at the earlier of: the Customer paying an invoice that refers to this offer, or the Customer confirming in writing (email is sufficient) that the scope and price stated in a quotation are accepted. Payment of an invoice is acceptance of these terms in full.

The scope, price and delivery window for each engagement are set out in the quotation or invoice for that engagement. Where those documents and this offer disagree, the quotation or invoice prevails.

3. Price and payment

4. Delivery and acceptance

Delivered work is treated as accepted if the Customer does not object in writing within 10 days of delivery, setting out what does not match the agreed scope. Defects reported in that window are fixed at no charge. Requests that go beyond the agreed scope are new work.

Delivery dates assume the Customer supplies the data samples, access and answers the work depends on. Delay in providing them moves the delivery date by the same period.

5. Support

Each delivery includes 30 days of support for behaviour that does not match the agreed scope. It does not cover new requirements, changes in the Customer's own systems or data, or third-party software changes.

6. Intellectual property

On payment in full, the Customer owns the deliverables produced specifically for them. The Supplier keeps ownership of general-purpose tools, libraries and techniques used to build them, and grants the Customer a perpetual, non-exclusive licence to use those components as part of the deliverables. The Supplier may describe the work in general terms as a reference unless the Customer asks in writing that it not be mentioned.

7. Confidentiality and data

Each side keeps the other's non-public information confidential and uses it only to perform the contract. A separate non-disclosure agreement can be signed on request. How client data is handled — including working without access to live data wherever possible — is described in the privacy and confidentiality notice, which forms part of these terms.

8. Liability

The Supplier's total liability under an engagement is limited to the fees paid for that engagement. Neither side is liable for loss of profit, revenue, data or business, or for indirect or consequential loss. Nothing here limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.

The Customer is responsible for the accuracy of the data it supplies and for checking output before relying on it for financial, tax or regulatory purposes.

9. Cancellation

Either side may end an engagement in writing. The Customer pays for work completed up to that point; any balance already paid and not earned is refunded. Where the Customer is a consumer, statutory cancellation rights apply in addition to this clause — including, in the EU, the right to withdraw within 14 days, which is lost once the Customer asks for work to begin during that period and it is fully performed.

10. Changes to this offer

The Supplier may publish a new version of this offer at any time. The version in force when a contract was formed continues to govern that engagement — a new version never changes terms already agreed. Superseded versions are kept available on request.

11. Sanctions and payment origin

The Customer confirms that it is not, and is not owned or controlled by, a person or entity subject to sanctions imposed by Ukraine, the European Union, the United Kingdom or the United States, and that it will not make payment from a bank in a jurisdiction the Supplier is prohibited from receiving funds from. The Supplier may decline or unwind any engagement where this proves not to be the case, and will return any payment it cannot lawfully accept.

12. Governing law

The law of the Supplier’s country of registration applies, and its courts have jurisdiction, unless the parties agree otherwise in writing. Where the Customer is a consumer, this does not remove the protection of mandatory rules in the Customer’s country of residence.
